The Automotive F&I Administrator Landscape

Who the providers and administrators serving the U.S. dealer channel actually are, who owns them, and how the last six years of consolidation rearranged the field. A map, not a ranking.

There is no current, credible, public market-share dataset for this industry. Warranty Week — which has covered the sector longer than anyone — said so plainly in November 2024: determining overall industry revenue is "simply not possible" because so many participants are private and have no disclosure obligation. Its dedicated ranking of vehicle service contract administrators dates to 2010.

That is the reason this document exists, and the reason it takes the form it does. Sixteen years is a long time for a market to go unmapped. But the honest response to missing data is a map, not an invented ranking.

01What this document does and does not do

CareGard® is one of the companies described here, so the constraints matter.

This document describes. It does not evaluate. Every entry states ownership, headquarters, structure, and scale where the company itself has published it. Nothing here says any company is better or worse than any other, because we have no defensible basis for saying so and neither does anyone else.

Where a figure appears, the company published it. Where ownership is not disclosed, we say it is not disclosed rather than repeating a plausible guess. Several entries below are less complete than we would like for exactly that reason.

If you are trying to choose an administrator, this document will not tell you which one. Part one of this series covers what to actually verify. This one just tells you who is out there and who owns them.

02Five structural types

The common framing — "OEM versus third party" — is too coarse to be useful. There are five recognisably different structures, and the differences are real without any of them being better.

Closely-held independentPrivately owned, often by founders or families, with no public disclosure obligation.

Those are structural facts, not judgments. A dealer choosing among them is trading different things: an OEM program's network reach against an independent's flexibility on participation structures, or an insurer-owned administrator's direct balance-sheet backing against a closely-held company's ability to make decisions quickly.

Two name collisions that trip people up

AAGI — American Auto Guardian, Inc., owned by Amynta — is a different company from AGWS — American Guardian Warranty Services, Inc., owned by Reynolds and Reynolds. Both are Illinois-based. They are separate members of the same trade association.

AFG Companies, Inc. (Texas, CareGard's parent) is unrelated to American Financial Group, Inc. (NYSE: AFG, Cincinnati) and to American Financial & Automotive Services (Houston, acquired by Assurant in 2020).

A category correction

Dealer Protection Group — now operating as Acrisure Protection Group — is an insurance agency and broker, not a national product administrator. Listing it alongside JM&A or Assurant is a category error, and it appears in several published comparisons that way.

04Consolidation, 2020–2026

This is the part of the picture that has changed most and is documented least. Every item below comes from a company or sponsor press release.

2025–2026 — the two defining deals
Sep 2025Fortegra agrees to be acquired by DB Insurance of South Korea from Tiptree and Warburg Pincus. Closes May 2026 at $1.65 billion.
Oct 2025Protective Life agrees to acquire Portfolio from Abry Partners. Closes January 2026. Protective describes it as its 61st acquisition and 8th since joining Dai-ichi.

The pattern worth noticing: the 2018–2022 private-equity buy-and-build wave has slowed, and the two largest recent transactions were strategic insurance capital rather than sponsor-to-sponsor trades — a Japanese life insurer and a Korean property insurer buying platforms outright.

That characterization is Gina Cocking of Colonnade Advisors, writing in P&A Magazine in March 2026, and it is her read rather than ours. What is not in dispute is the transaction record itself, which is above.

05OEM-branded is not OEM-administered

This is the single most common misunderstanding about the category, and the contract documents settle it.

Safe-Guard likewise administers programs for Toyota Financial Services, Hyundai Capital America and Volkswagen Financial Services. And the traffic runs in the other direction too: CareGard administers the QualityGuard+Plus high-mileage program for Nissan Extended Services North America, covering vehicles that fall outside NESNA's own age and mileage limits.

The practical consequence for a dealer: an OEM badge on a brochure tells you who stands behind the promise. It does not tell you who answers the phone when your service advisor calls for authorization.

06Underwriters and ratings

Verified directly from AM Best rating actions. A rating applies to a named legal entity, not to a brand — always check the entity printed on the contract.

Rating claims we could not confirm

Several companies publish ratings on their own sites that we could not independently verify against a current AM Best action. Courtesy Insurance Company (JM&A) — the most recent public action we could retrieve dates to 2012. Old Republic Insurance Company — company claim only. Endurance Dealer Services cites an A+ rated carrier without naming it. EFG names three carriers as Assurant-affiliated, one of which has not been an Assurant company for years.

None of that means the ratings are wrong. It means AM Best's per-company pages sit behind a login, and a claim you cannot check is a claim you should ask about rather than assume.

07Participation structures

Two companies publish structure-by-structure explanations openly enough to cite: Zurich and CNA National. Both describe the same four options, which is itself useful — it suggests the menu is fairly standard across the industry and the differences lie in terms rather than in kind.

A terminology correction worth making, from tax practitioners writing in P&A Magazine: calling a dealer's producer-owned reinsurance company a "CFC" is technically inaccurate. These entities elect under IRC § 953(d) to be treated as U.S. corporations, and separately make the small insurance company election under § 831(b). The industry shorthand has drifted from the tax reality.

Protective markets its DOWC program with the claim that it invented the structure and that no Protective DOWC program has failed in five decades. That is Protective's own statement about its own program, and we repeat it as such rather than adopting it.

08Why you cannot rank from the scale figures

Every number below was published by the company itself. None of them is comparable to any other.

"Contracts in force," "vehicles protected," "customers protected," "claims paid" and "premium written" measure five different things, over different periods, across different geographies, some global and some domestic. A reader who ranks this table will get a wrong answer.

One third-party estimate exists — IBISWorld put the industry at $32.7 billion across 404 businesses in 2026 — but its named market-share leader rendered as a database artifact rather than a real finding, so we cite the size figure with the vendor named and ignore the attribution entirely.

09Trade associations

The Service Contract Industry Council publishes its member list openly, which makes membership one of the few cleanly verifiable affiliations in this industry. Forty-seven companies appear on its auto service contract member list, including most of the companies described above.

CareGard is not currently on that list. We note it here because a document that treated SCIC membership as a marker of legitimacy while quietly omitting its own absence would not be worth reading.

The Vehicle Protection Association — formerly the Automotive Warranty and Service Contract Association — describes itself as promoting ethical practice through advocacy and certification. We could not retrieve a current member list or founding date and therefore assert no company's membership in it.

NADA is a dealer association, founded 1917, with more than 16,000 franchised dealer members. Administrators participate in the NADA Show as exhibitors and sponsors, not as members. Any administrator describing itself as a NADA member is describing something that does not exist.

10Method and limits

Company facts come from SEC filings, company and sponsor press releases, company websites, contract documents, and AM Best rating actions. Trade press is used only where no primary source exists, and is attributed when it is.

What we could not verify, and therefore did not assert: the ownership of EFG Companies, Ethos Group and Wise F&I; CNA National's corporate parent; GSFS Group's parent; the obligor and administrator behind Stellantis FlexCare; the carrier underwriting Endurance Dealer Services; current AM Best actions for several named carriers; and membership rosters for the Vehicle Protection Association.

Any of those may be perfectly well known inside the industry. They are not documented in a source we would stand behind, and this document does not print things we cannot stand behind.
